Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Shortlister portal and related services (the "Service") operated by True Square Ltd, a private limited company incorporated in the Republic of Cyprus with registration number HE 368592 and registered office at Charalambou Mouskou 20, ABC Building, Floor 3, Office 306, 8010 Paphos, Cyprus ("Shortlister", "we", "us"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

• Shortlister provides an online, subscription-based information database of new-build (off-plan and recently completed) residential and commercial developments in Cyprus, together with related tools such as filtering, mapping, comparison, indicative financial models and exportable offers. The Service is intended for property-market professionals.
• The Service is an information and software tool only. Shortlister is not a real-estate agent or broker, does not act as an intermediary in transactions, does not hold client money, and does not provide investment, financial, tax or legal advice. See the Investment & Data Disclaimer below.
• Data on the Service is sourced from developers and other third parties and from our own processing. While we take reasonable care, we do not warrant that any price, availability, area, yield, completion date or other figure is accurate, complete or current. You must independently verify any information before relying on it.

2. Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract. Access is by individual account and is granted at our discretion.
• You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly of any unauthorised use. Accounts are personal and may not be shared; we may apply technical limits and may suspend accounts showing signs of credential sharing.

3. Acceptable use

You agree not to:

• scrape, crawl, harvest, or systematically extract data from the Service, or use bots/automated means, except as we expressly permit;
• resell, redistribute, sublicense, or make the Service or its data available to third parties outside your permitted professional use;
• circumvent access controls, probe or test the security of the Service, or interfere with its operation;
• upload unlawful, infringing or malicious content, or use the Service in breach of applicable law.

4. Intellectual property

• The Service, including its software, design, database structure, compilations, text and branding ("Shortlister"), is owned by us or our licensors and protected by intellectual-property laws, including database rights. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal professional purposes during your subscription.
• Developer names, logos, renders, plans and materials shown on the Service belong to their respective owners and are displayed for informational/marketing purposes. No rights in third-party materials are granted to you.

5. Subscriptions, fees and payment

• Access requires a paid subscription. Plans, prices and billing cycles are described at sign-up and in the Subscription & Refund Terms, which form part of these Terms.
• Payments are processed by our Merchant of Record, Paddle.com Market Limited, which acts as reseller of the subscription, is the seller of record on your invoice, and is responsible for charging you, issuing invoices and handling applicable VAT. Your purchase is also subject to the Merchant of Record's buyer terms. The correct VAT is determined at checkout based on your location.
• Subscriptions renew automatically for successive periods unless cancelled before the renewal date. You authorise recurring charges until you cancel. See the Subscription & Refund Terms for cancellation, renewal, price changes and refunds.

6. Disclaimers and limitation of liability

• The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including accuracy, fitness for a particular purpose, and uninterrupted or error-free operation.
• Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, for fraud, or any statutory rights you have as a consumer.
• Subject to the paragraph above, we are not liable for indirect, incidental, special or consequential loss, loss of profit, business, data or opportunity, or for any decision (including any property purchase or investment) made in reliance on information obtained through the Service. Subject to the paragraph above, our total aggregate liability arising out of or in connection with the Service is limited to the fees paid for the Service in the 12 months preceding the event giving rise to the claim.

7. Suspension and termination

• You may stop using the Service and cancel at any time as described in the Subscription & Refund Terms.
• We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service or other users. We may also discontinue the Service or any feature with reasonable notice. On termination, your licence ends and you must stop using the Service.

8. Changes to the Terms

We may update these Terms from time to time. We will post the updated version with a new effective date and, for material changes, provide reasonable notice (e.g., by email or in-portal notice). Continued use after the changes take effect constitutes acceptance.

9. Governing law and disputes

These Terms are governed by the laws of the Republic of Cyprus, and the courts of Cyprus have jurisdiction, without prejudice to any mandatory consumer-protection rights you may have in your country of residence in the EU. Contact: hello@shortlister.cy.
